Terms & Conditions
These Terms & Conditions govern the professional advisory services provided by Victorine
Bokengo / VB-Consulting. They apply to all client engagements unless a separate written
agreement supersedes them.

About Victorine Bokengo / VB-Consulting
VB-Consulting is operated by Victorine Bokengo (sole trader / Einzelunternehmen),
registered in Wiesbaden, Germany. These Terms & Conditions (“Terms”) govern all
advisory, consulting, and related services (“Services”) provided by VB-Consulting to its
clients (“Client”).
Scope of Services
Victorine Bokengo / VB-Consulting provides strategic advisory services including but not
limited to:

• Go-to-Market strategy and Business Development
• Sales excellence and process optimisation
• Alliance and partnership strategy
• Executive positioning and branding
• Market entry strategy (Europe & Africa)
• Event and project leadership
  The exact scope of services for each engagement will be agreed in writing prior to
  commencement, either via a signed proposal, Statement of Work (SOW), or engagement
  letter.
  Engagement & Contract Formation
  A binding engagement is formed when both parties have confirmed the scope, deliverables,
  timeline, and fees in writing. VB-Consulting reserves the right to decline any engagement at
  its sole discretion.
  Fees & Payment

1. Fees are as agreed in the applicable proposal or engagement letter.
2. Unless otherwise agreed, invoices are payable within 3 days of issue.
3. Victorine Bokengo / VB-Consulting reserves the right to suspend services in the
   event of non-payment beyond 7 days.
4. All fees are quoted in EUR exclusive of applicable VAT, unless stated otherwise.
5. For project-based engagements, a deposit of 30–50% may be required prior to
   commencement.
   Confidentiality
   Both parties agree to treat all non-public information exchanged in connection with the
   engagement as strictly confidential. This obligation survives termination of the engagement
   for a period of three (3) years. Victorine Bokengo / VB-Consulting will not disclose client
   information to third parties without prior written consent, except as required by law.

Intellectual Property
All deliverables, strategies, frameworks, and materials created specifically for the Client
under this engagement become the property of the Client upon full payment of fees.
Victorine Bokengo / VB-Consulting retains ownership of its proprietary methodologies, tools,
templates, and general know-how, which may be used in other engagements.
Limitation of Liability
Victorine Bokengo / VB-Consulting provides advisory services based on professional
expertise and good faith. However:

• Victorine Bokengo / VB-Consulting does not guarantee specific business outcomes,
  revenue results, or market performance.
• Liability is limited to the total fees paid by the Client for the specific engagement in
  question.
• Victorine Bokengo / VB-Consulting shall not be liable for indirect, consequential, or
  incidental damages.
  Nothing in these Terms limits liability for fraud, wilful misconduct, or death/personal injury
  caused by negligence.
  Termination
  Either party may terminate an engagement with 30 days’ written notice. In the event of
  termination:
• The Client shall pay for all work completed up to the termination date.
• The Client can not terminate the engagement during ongoing projects.
• Any non-refundable deposit agreed at the outset shall be retained by Victorine
  Bokengo / VB-Consulting.
• Victorine Bokengo / VB-Consulting shall deliver all completed work product to the
  Client upon receipt of final payment.
  Independent Contractor
  Victorine Bokengo / VB-Consulting operates as an independent contractor. Nothing in these
  Terms creates an employment relationship, partnership, or joint venture between the parties.
  Governing Law & Jurisdiction
  These Terms are governed by the laws of the Federal Republic of Germany. Any disputes
  arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of
  the courts of Wiesbaden, Germany.
  Amendments
  Victorine Bokengo / VB-Consulting reserves the right to update these Terms & Conditions at
  any time. The current version will always be published on the website. Continued use of our
  services following any update constitutes acceptance of the revised Terms.
  Severability
  If any provision of these Terms is found to be invalid or unenforceable, the remaining
  provisions shall continue in full force and effect.
